Defined work is a fixed-fee package quoted before we start. Ongoing access is a monthly retainer sized to your volume. Company upkeep is a subscription. Hourly engagements exist for the matters that need them, established case by case — and in every model you approve the number first.

We bill for the work product and legal confidence, not for hours. Defined work is a fixed-fee package — quoted in Windward Helm or by a partner before we start; ongoing access is a retainer that keeps strategic counsel one call away; and the company's certified compliance posture is a monthly subscription.

Packages run from a few hundred dollars for a single document to five figures for a full offering set; you see the price and the timeline before engaging, and standard documents are delivered in days, often same-day.

Windward Charts is the full governance stack for a company inside Helm: the capitalization ledger, the minute book of consents and resolutions, filings and compliance posture, and the document record — each item tied to its executed instrument, versioned, and attested by a Windward Counsel attorney (the Survey).

Anything not on a published menu is scoped and priced before we begin. Most of it becomes a fixed fee; matters that do not fit one — contested proceedings, open-ended negotiations, novel work — are handled on an hourly engagement established case by case, with rate and budget agreed in the engagement letter. Common questions.

How do you set a flat fee?

After a short scoping conversation we quote a fixed number for a defined deliverable — a described document set, filing, opinion, or transaction phase. The quote reflects the complexity and the partner time required, not the hours the tooling saves. You approve it before work begins. If the scope changes materially, we re-quote before incurring the additional work, never after.

Are there hourly matters at all?

Some. Contested proceedings, open-ended negotiations, and genuinely novel work do not always fit a fixed fee, and for those we establish an hourly engagement case by case — with the rate, the staffing, and a budget agreed in the engagement letter before work begins. The default for defined work remains the fixed-fee package.

What does the retainer cover, and what is extra?

The retainer covers priority access to a partner, a monthly allowance of advisory and document work, and volume pricing beyond the allowance. Transactions, offerings, title opinions, and regulatory proceedings are quoted separately as flat fees so that a big deal does not consume the retainer and the retainer does not subsidize the deal.

Do you publish a fee schedule?

Yes. The package catalog with prices lives in Windward Helm, and the schedule is available on request — contact us and ask for it. Packages range from a few hundred dollars for a single document to five figures for a complete securities offering set.

What is Compliance Watch?

A monthly subscription that keeps each entity's governance and compliance posture current and attorney-reviewed inside Windward Charts — annual reports, franchise tax, registered agent, consents and resolutions, option-grant approvals, and the filing calendar — for $500 per entity per month. It is billed by the platform operator, Windward Management Group, LLC, separately from legal fees, and is never commingled with client trust funds.
